Adelaide Motel Sales: Why Equipment Finance Needs a PPSR Review

Equipment can be working perfectly in an Adelaide motel while its finance arrangements complicate a sale. A laundry machine, commercial appliance or business vehicle may be financed, leased or supplied by another business. Seeing it on the premises does not establish the seller’s right to transfer it.
Preparing early means tracing ownership, identifying security interests and agreeing how relevant finance will be handled. That is a different exercise from simply listing the equipment included in the asking price.
Understand what the register records
The Personal Property Securities Register, or PPSR, records security interests over personal property. Its guidance distinguishes those interests from ownership and identifies arrangements including secured loans, hire purchase, leases and general security agreements over company assets. For a motel transaction, ask your solicitor which registrations could affect the assets being sold. A broad security interest over business assets may need investigation even when it does not name a particular washing machine in the search result.
Does equipment on site prove ownership?
No. Gather purchase invoices, finance agreements, lease schedules and lender details for relevant equipment. Record descriptions, model details and serial numbers where available. Reconcile those records with the machines and other assets physically on site.
Identify equipment supplied under a service arrangement or retained by a third party. Ask whether it can remain after settlement, whether an agreement needs consent to transfer, or whether replacement arrangements will be required. Avoid treating payments made from the motel’s bank account as sufficient proof of ownership.
In a hypothetical example, a commercial dryer appears on the seller’s asset list, but its paperwork identifies an equipment lessor. The sale documents need to address that arrangement rather than promise ownership of the dryer without verification.
Choose searches that match the seller
PPSR organisation searches use specified identifiers, commonly a company’s ACN. The official guidance explains that a search only returns registrations against the identifier entered and that additional searches may be appropriate. Have an adviser determine the relevant entities, identifiers and search types. A trading name or one ABN search should not be assumed sufficient for every motel business. Keep search certificates and the supporting identity records together so the purchaser’s adviser can understand what was checked.
Separate Adelaide land records from equipment security
Where the motel’s freehold is also being sold, obtain the South Australian land records separately. Land Services SA describes a certificate of title as the official land ownership record and provides access through SAILIS. Those records support the land transaction; the PPSR enquiry addresses relevant personal property. PPSR guidance excludes land, buildings and fixtures from its registration scope. Ask the conveyancer or solicitor to resolve uncertain classification of installed equipment and coordinate the two sets of enquiries. Personal Property Securities Register
This matters when presenting an Adelaide freehold going concern: clearing a land mortgage should not be assumed to resolve every separate equipment finance arrangement.
Plan the finance release before settlement
Request current payout information and ask the relevant lender or lessor what is required to release the assets involved. Have the parties’ advisers document how payments, consents and releases will be coordinated with settlement. If security covers other assets, obtain advice about the necessary release for this transaction. Note the date of each finance statement and confirm whether the supplied payout information remains valid for settlement.
PPSR guidance requires a registration to be ended when the secured interest ends. It also provides a process for contacting the secured party where a registration appears incorrect or should be removed. Debt repayment and the register update should therefore be checked separately.
