Selling a Melbourne Hotel: Explaining Franchise Fees and Marketing Levies

When selling a Melbourne hotel operating under a franchise, the brand name is only part of the commercial story. Buyers also need to understand the fees, contributions and obligations supporting that relationship.

Prepare a clear explanation of the actual arrangement. A franchise, hotel management agreement and other branding arrangements should each be assessed according to their terms.

Establish Which Documents Apply

Gather the signed franchise agreement, variations, current fee schedules and relevant disclosure material.

Have your advisers confirm the legal structure before describing the arrangement as a franchise. The presence of a recognisable hotel brand does not resolve that question by itself.

Where the Franchising Code applies, ACCC guidance explains the role of the disclosure document in identifying costs, supply restrictions and potential capital expenditure.

Check that the documents being provided relate to the agreement and period under review.

Separate the Recurring Charges

Prepare a schedule identifying the fees actually payable under the hotel’s agreement.

Depending on its terms, these might include fixed charges, revenue-based payments, technology costs or contributions to specified funds. Avoid presenting these categories as universal hotel franchise requirements.

For each charge, identify its calculation basis, payment frequency and treatment in the accounts. If a percentage applies, establish which revenue definition the contract uses.

This makes the financial presentation easier to follow than a single unexplained “brand expenses” total.

Explain Marketing Contributions Accurately

The ACCC’s current guidance addresses specific purpose funds, including funds used for marketing, technology or refurbishment.

Contributing to a marketing fund does not necessarily mean the individual property receives advertising equal to its contribution.

Provide available fund statements and explain the contractual contribution. Keep separate any additional local marketing the Melbourne hotel pays for itself.

Avoid suggesting the fund guarantees a particular number of bookings or a measurable return for the purchaser.

Reconcile Fees With Trading Records

As a practical preparation exercise, select a reporting period and compare the contractual calculation with invoices and ledger entries.

Identify temporary concessions, rebates, outstanding amounts and charges recorded outside the usual expense category.

A short-term fee reduction should be explained separately from the ongoing agreement. Buyers need to know when it ends and whether similar terms would apply to their ownership.

Have the accountant review any adjustments proposed in the sale financials.

Will the Purchaser Receive the Same Terms?

That requires confirmation.

Review the rules for selling the franchised business, obtaining consent and entering any replacement agreement. Identify potential transfer costs and capital expenditure requirements without assuming every existing concession continues.

The purchaser should obtain independent advice on its own proposed arrangements.
