Perth Hotel Sales: Explaining Rent Between Related Businesses

When preparing a Perth hotel for sale, check whether the operating business pays rent to a related property owner. For example, separate entities under common ownership may hold the land and run the hotel.

That arrangement can affect how buyers interpret reported profit. The sale information should explain the entities, the rent recorded and the ownership structure being offered.

Identify Who Owns and Operates Each Asset

Prepare a simple schedule identifying the property owner, business operator and parties to the occupancy agreement.

Explain whether the proposed sale includes the real estate, the operating business or both. Identify any areas used by another entity, such as a separately operated restaurant.

WA’s Small Business Development Corporation recommends reviewing both financial records and existing lease conditions when buying a business. Providing those documents together helps buyers understand how the operation occupies its premises.

Explain the Related-Party Arrangement

AASB 124 recognises that related-party relationships and transactions can affect financial results, including where terms differ from those agreed between unrelated parties.

Ask the accountant to explain the actual relationship and the reporting requirements applying to the entities.

Collect the lease, invoices, ledger entries and payment records. Identify any rent-free periods, unpaid balances or changes during the reporting period.

Avoid implying that an internal accounting entry necessarily represents cash paid on the same date.

Keep Reported Results and Adjustments Traceable

If sale financials adjust related-party rent, show the original expense and explain the proposed adjustment separately.

Do not remove rent automatically simply because the landlord and operator share ownership. The relevant treatment depends on what the purchaser is acquiring and the costs associated with that structure.

Have the accountant explain whether the presentation concerns the business alone or a combined property-and-business operation.

Buyers should be able to reconcile the adjusted information with the underlying accounts.

Support Any Proposed Future Rent

An existing related-party payment does not, by itself, establish the rent an independent purchaser would agree to pay.

Where a new lease is proposed, identify its documented commercial terms. If a market-rent opinion is needed, obtain appropriate independent advice.

Describe assumptions clearly and distinguish a proposed figure from a signed agreement. Avoid presenting an unsupported rental estimate as a confirmed operating expense or investment return.

What Should Buyers Compare?

Use a consistent basis when comparing opportunities.

A business paying rent, an owner-operated freehold and a passive property investment involve different income and expense structures. Explain which costs sit with each party, including relevant outgoings and maintenance obligations.

A clear presentation lets purchasers assess the opportunity using their own advisers and financing assumptions.
